Unloc Terms of Use

These Terms govern your account, use of the Unloc website and platform, and purchases from Unloc Inc. ("Unloc," "we," or "us"). By checking the agreement box at registration or checkout, you agree to these Terms. If you act for a business, "you" includes that business.

1 Eligibility and accounts

Unloc serves business buyers. You must be at least 18, purchase for business purposes, and have authority to bind any business you represent. Provide accurate, current account, billing, shipping, and tax information. We may request documents to verify your identity, business, or resale eligibility. Keep login credentials secure and notify us promptly of unauthorized use. You are responsible for activity you authorize through your account.

2 Seller and order acceptance

Unloc is the seller of products purchased through this platform, including when a manufacturer or fulfillment partner ships on our behalf. Submitting an order or receiving an automated receipt does not mean we have accepted it. An order is accepted when we expressly confirm acceptance or ship it. Before acceptance, we may reject or cancel an order for unavailable stock, listing errors, suspected fraud, or legal restrictions, and refund any amount paid for canceled items. After acceptance, we will not increase the agreed price without your consent.

3 Prices payments and taxes

Prices are in the currency displayed. Shipping charges, taxes, and any applicable fees are disclosed before you submit an order. Unless agreed otherwise in writing, payment must be received and confirmed before shipment. You authorize charges you approve and remain responsible for amounts due. Tax exemption requires a valid resale or exemption certificate applicable to the transaction and accepted by Unloc. Business status alone does not establish tax exemption. We collect taxes where required by law.

4 Shipping preorders and returns

Shipping timing and available cancellation or return rights are stated in the product listing, checkout, or a separate written order agreement. Please review those terms before purchasing. If shipment is delayed, we will notify you and provide any delay-consent, cancellation, or refund rights required by law. Unloc remains your point of contact for delivery issues, including third-party fulfillment.

Preorder and reservation terms must disclose the deposit amount, whether and to what extent it is refundable, the balance-payment deadline, and allocation conditions before payment. Registration alone does not create a deposit obligation or guarantee inventory.

Inspect deliveries and promptly report missing, incorrect, or damaged items with supporting information. Buyer-requested returns or cancellations are subject to the policy disclosed before purchase.

5 Acceptable use and platform content

Do not use Unloc for fraud, unlawful transactions, account impersonation, unauthorized system access, or activity that disrupts the platform. Do not scrape nonpublic data or copy, redistribute, or commercially exploit platform content without permission. Unloc and its licensors retain ownership of platform software, branding, and content. You may use the platform and its content for your legitimate purchasing activities. Reselling purchased goods does not grant a right to claim manufacturer authorization or an exclusive distribution relationship.

6 Privacy and communications

Our Privacy Policy explains how we handle personal information. We may send account, security, payment, and order communications through the relevant contact methods you provide, subject to applicable law. Marketing email and SMS preferences are managed separately. Marketing SMS requires a separate affirmative opt-in and is not a condition of registering or buying. You may unsubscribe from marketing emails or opt out of marketing texts using the instructions provided. A marketing opt-out does not prevent necessary nonmarketing account or order communications.

7 Warranties and liability

We do not guarantee resale prices, resale profits, market value, or particular contents of sealed or randomized products beyond the stated product description. The platform may experience interruptions. These statements do not override express product descriptions, warranties we give, or applicable rights relating to nonconforming goods.

TO THE EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE UNDER THESE TERMS FOR INDIRECT OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS. UNLOC'S TOTAL LIABILITY FOR A CLAIM IS LIMITED TO THE AMOUNT YOU PAID FOR THE AFFECTED ORDER; FOR A CLAIM UNRELATED TO AN ORDER, THE LIMIT IS $100. These limits do not restrict refunds expressly owed, liability for fraud, willful misconduct, or gross negligence, or liability that cannot legally be limited. Your obligation to pay amounts properly due is unaffected.

8 Account suspension and termination

We may restrict or suspend an account for material violations, suspected fraud, security risks, or legal requirements. You may request account closure through our website contact channel. Account closure or suspension does not remove outstanding payment obligations or Unloc's obligations for accepted orders and refunds. Provisions intended to survive, including payment obligations, liability limits, and dispute terms, continue to apply.

9 Governing law and disputes

Washington State law governs these Terms, without its conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods does not apply. Subject to mandatory applicable law, disputes will be brought in state or federal courts located in King County, Washington, and both parties consent to their jurisdiction.

10 Changes and contact

We will notify account holders of material changes and state their effective date. Changes apply prospectively and do not alter previously accepted orders without agreement. Continued platform use after notice and the effective date constitutes acceptance of revised Terms to the extent permitted by law. Separately agreed written order terms control over conflicting provisions of these Terms for that order. If a provision is unenforceable, the remaining provisions remain effective.
